Terms and Conditions for the Online Product Management Course

Introduction

This document outlines the Terms and Conditions for the live online Product Management course (hereafter "the Course") operated by Michael Chernyakov, a freelancer based in Germany. By enrolling in or purchasing access to the Course through our Wix website, you (the "Student") agree to be bound by these Terms and Conditions. These Terms cover all course formats offered (one-on-one sessions, group sessions, and any future formats) and are designed to comply with applicable German consumer protection laws. Please read these Terms carefully before booking the Course.

Course Offerings and Enrollment Options

We currently offer the following Course formats for purchase:

​

  • One-on-One Sessions: Individual coaching sessions (1 hour each). In this format, the student engages in self-study with provided materials between sessions, and each session is a one-on-one live meeting with the instructor.

​

  • Group Live Sessions: Cohort-based training consisting of approximately 7–8 live sessions in total, each 2–3 hours long. Group sessions are typically scheduled on Tuesdays and Thursdays (exact schedule will be provided upon enrollment). You will participate in a live online classroom environment with other students for the duration of the course.

​

  • Additional Formats: We reserve the right to introduce new course formats or special sessions in the future. Any new format will also be governed by these Terms and Conditions.

 

For all formats, details such as the curriculum, schedule, and requirements will be described on the course website. No trial sessions are offered – however, a free promotional preview video is available on our website for you to gauge the course content and teaching style before you decide to purchase. Beyond this free preview video, no free or trial classes are provided, and enrollment is required to access the full course content.

Booking, Fees, and Payment

Booking Process: To enroll in the Course, you must complete the booking and payment through our website. The contract between you and the instructor (Michael Chernyakov) is formed when you successfully submit the order (booking) and we confirm acceptance via a confirmation email. We reserve the right to refuse a booking for legitimate reasons (for example, if a course is fully booked or if you do not meet any prerequisite criteria listed on the site). In the event a booking is not accepted but payment was processed, you will be refunded the full amount.

Fees: All course fees are listed on the website for each format. Prices are stated in the indicated currency and include any applicable taxes (e.g. VAT) unless stated otherwise. The listed course fees are the only valid fees for the respective session or package​. There are no hidden charges. Full payment of the course fee is required to secure your place in the course.

​

Payment Method: Payments are processed securely via Wix Payments, our payment processor. Wix Payments is a service by Wix.com that enables us to accept payments from students through established payment processors​. This means you can pay by credit card or other offered methods, and the payment will be handled by Wix’s integrated system. We do not receive or store your credit card details on our own servers. By making a payment, you agree to Wix Payments’ terms of service and the applicable third-party payment processor terms. All payments must be made in full at the time of booking; partial payments or deposits are not accepted unless explicitly offered on the booking page.

Payment Confirmation: Upon successful payment, you will receive an email confirmation and receipt. If you do not receive confirmation within 24 hours or encounter any errors during payment, please contact us immediately. Access to course sessions or materials will only be granted after we have received the full payment. If full payment is not received or is charged back, we reserve the right to deny access to the Course until the issue is resolved.

Course Schedule and Delivery

​

For live sessions (both one-on-one and group formats), sessions will be conducted online via video conferencing (e.g., Zoom or another platform as specified). You will receive instructions on how to join the online sessions before the course start date. It is your responsibility to ensure you have the necessary technical setup (a reliable internet connection, webcam/microphone, etc.) to participate in the live online sessions. We are not responsible for technical problems on your side (such as equipment failure, internet outages, or confusion with time zones); no refunds will be given for sessions missed or not fully attended due to such issues​.

​

Group sessions will take place on the scheduled dates and times as communicated. The first one-on-one sessions will be automatically booked when purchasing the package. The second one on one scheduling will be arranged between the student and instructor, subject to mutual availability. Punctuality is important; if you fail to join or are significantly late to a session, the session may proceed without you and will still count as attended from your side (no make-up session or refund will be provided for no-shows or late arrivals)​. If you know in advance that you will miss a one-on-one session, you should inform the instructor 24 hours before the session, as per any rescheduling policy provided; otherwise, that session may be forfeited.

​

We reserve the right to modify the schedule of group sessions (for example, to postpone a session due to unforeseen circumstances or instructor illness). In such cases, we will notify all participants as soon as possible and arrange a make-up session or adjust the course timeline. If a session is canceled by us and cannot be rescheduled, or if the entire course is canceled by us before completion, you will receive an appropriate refund (full refund if the course is canceled entirely, or a pro-rata refund for any undelivered sessions)​.

Course Materials and Intellectual Property

Throughout the Course, you will receive various materials, which may include presentation slides, documents, worksheets, templates, videos, or other educational content (collectively, "Course Materials"). All Course Materials are proprietary to the instructor (Michael Chernyakov) and are protected by copyright and other intellectual property laws. These materials are provided for your personal use and professional development only. You are not permitted to share, distribute, copy, or resell any Course Materials to any third party without prior written permission from the instructor​. This includes posting materials (in whole or in part) on the internet, forums, or sharing with people who are not enrolled in the course. Commercial use or exploitation of the Course content is strictly prohibited.

​

By enrolling in the Course, you are granted a limited, non-transferable, non-exclusive license to use the Course Materials for your own learning purposes. This license terminates upon any breach of these Terms or upon completion of the course (unless otherwise specified for materials that you may retain for ongoing use).

​

Access Credentials and Sharing: If the course provides you with login credentials or private links to access live sessions or online content, you must keep those credentials confidential. Only the registered student may use the access credentials to attend the sessions or view the content. Sharing your access (e.g., Zoom links or platform login) with anyone else is not allowed.

​

Unauthorised sharing of access or materials will be considered a breach of these Terms and may lead to removal from the Course without refund. We reserve the right to remove any participant who violates the intellectual property or access rules from the course platform and deny further access to materials, in addition to any legal remedies available.

​

Recording: For privacy and intellectual property reasons, you are not permitted to record the live sessions (audio or video) or take screenshots of the virtual classroom, unless you obtain express permission from the instructor and all other participants in that session​. We may record sessions for our internal use (e.g., quality control or to provide a replay to students). If we plan to share a session recording with participants, we will inform you. Any recordings we provide are also for your personal use only and subject to the same restrictions on sharing.

​

All trademarks, logos, and branding associated with the Course or displayed in the Course materials are the property of the instructor (or other respective rights holders) and nothing in the Course grants you any license or right to use them.

Cancellation and Refund Policy

General Principle: We have a strict no-refund policy once the Course has started or once any session has been attended. By enrolling, you are reserving a spot in the Course (often a limited seat in the case of group sessions) and agree to follow through with the program. Below we outline the policies for cancellations, withdrawals, and refunds in detail:

Cancellation by Student (Prior to Course Start)

If you wish to cancel your enrolment before the Course has begun (and you have not attended any session or received any live instruction), please inform us in writing (e.g., via email) as soon as possible. If you are a consumer residing in the European Union or UK, you have a statutory 14-day "cooling-off" period (Right of Withdrawal) after purchasing an online service like this Course, during which you may cancel your enrolment for any reason or no reason​. The withdrawal period is 14 days from the day of the conclusion of the contract (i.e., your purchase/booking date). To exercise this right, you must send us a clear notice (e.g., an email) stating that you wish to withdraw from the contract. You may use the model withdrawal form provided by law, but it is not mandatory. Sending your cancellation notice before the 14-day period expires is sufficient to meet the deadline.

Effects of Withdrawal: If you cancel within this 14-day period (and the Course has not yet started), we will refund all payments we received from you, including any delivery or transaction fees, within 14 days of receiving your withdrawal notice​. The refund will be processed using the same payment method you used for the original transaction, unless we explicitly agree otherwise with you, and you will not incur any fees as a result of the refund​.

​

Waiver of Withdrawal Right: Please note that if the Course is scheduled to begin during the 14-day cooling-off period (for example, you sign up only a few days before the Course start date), by enrolling you are requesting and consenting that we begin the services within the withdrawal period, and you acknowledge that once the Course (or a session) has started, you lose the right to withdraw from the contract under the cooling-off rules​. In other words, if you access any part of the live Course or course content within the first 14 days, you will be responsible for payment of services received up to that point. If you exercise your right to withdraw after the Course has partially begun (but within the 14 days), you must pay for the portion of the Course already provided (e.g., any sessions already conducted) as allowed by law​. Beyond that portion, we will refund the remaining balance of the course fee. However, once you have attended at least one session or the Course has fully started, our no-refund policy applies to the remainder of the course.

​

No Refunds After Course Start (Student-Initiated Cancellation)

Once the Course has started or once you have attended any session, no refunds will be granted under any circumstances. This means that if you decide to drop out of the Course after it has begun, or if you miss sessions, or if you are dissatisfied, you will not be eligible for a partial or full refund of the course fee. We do not offer partial refunds for any unused portion of the Course. For example, if you purchase a bundle of 8 group sessions and only attend the first two, you cannot receive a refund for the remaining sessions you choose not to attend. Similarly, failure to attend or participate in the course (no-show) does not entitle you to any refund or credit. Even in the event of technical issues on your side or other personal impediments, our policy remains that no refund or credit is given once the course is underway​.

​

By agreeing to these Terms, you understand and accept that all sales are final after the Course has begun. We implement this policy because you gain immediate access to proprietary course content and/or occupy a spot that could have been offered to another student. Furthermore, the Course might involve digital content and live services that are delivered in real-time, which cannot be "returned." (For clarity: The above does not restrict your legal rights to withdraw within 14 days if applicable; it comes into effect after any withdrawal period has lapsed or once the course begins with your consent, per the waiver terms.)

Cancellation or Changes by Instructor

In certain unlikely circumstances, we (the instructor) may have to cancel, postpone, or significantly change the Course (for example, not meeting a minimum number of participants, instructor illness, or other unforeseen events). If we cancel the entire Course before it starts, you will receive a full refund of any fees you have paid​. If we cancel or discontinue the Course after it has started, we will provide you with a pro-rata refund for the portion of the Course that was not delivered, or at our discretion, provide an alternative arrangement such as rescheduling the remaining sessions. For instance, if a group course is halfway through and the remainder must be canceled by us, we will refund you the value of the sessions not provided.

If a single session is canceled by us (and not rescheduled), we will refund the portion of the fee attributable to that session (if calculable) unless a make-up session is arranged. In the case of one-on-one sessions, if the instructor needs to cancel a scheduled session, we will offer to reschedule it. If rescheduling is not possible, you will not be charged for that canceled session (or will be refunded that session’s portion of the fee).

Aside from refunds, no further claims against us shall exist due to a cancellation or change that we initiate, except in cases of willful misconduct or gross negligence on our part (see Limitation of Liability below). We will not be liable for any indirect costs you incurred in reliance on the course (such as travel or accommodation bookings, which should not apply to an online course, or time invested).

Code of Conduct and Participant Responsibilities

We strive to create a respectful, inclusive, and productive learning environment. By joining the Course, you agree to conduct yourself professionally and respectfully toward the instructor and other participants. Disruptive, discriminatory, or inappropriate behavior during live sessions will not be tolerated. We reserve the right to warn, mute, or remove any participant from a live session if their behaviour is seriously disruptive or offensive, and in extreme cases, to terminate that student’s access to the remainder of the Course without refund (in case of severe violation of this Code of Conduct or these Terms). This would only be done in exceptional circumstances to protect other students and maintain a proper learning environment.

​

You are responsible for managing your own schedule to attend the sessions and for ensuring you have the required software or platform access in advance. Please join the sessions on time and prepared. If pre-reading or homework is assigned, you are expected to put in the effort so that you and your fellow participants can get the most out of the live sessions. The results you get from the Course depend a great deal on your input and dedication; we encourage asking questions and engaging fully.

Disclaimers and Limitation of Liability

No Guarantee of Results: The Course and all associated content are provided for educational and professional development purposes. While we aim to deliver high-quality training and guidance, we do not guarantee any particular results or outcomes from attending the Course (for example, we cannot guarantee you will achieve a specific job position or performance metric after taking the course). Your success depends on many factors outside our control, including your own effort and skills. The course content is provided "as is" without any warranty that it will meet your specific expectations or goals. We make no promises that the information provided is comprehensive or will suit every individual's purposes, though we endeavor to ensure accuracy and relevance.

​

Limitation of Liability: To the fullest extent permitted by law, Michael Chernyakov (the instructor) and any assistants or agents will not be liable for any indirect, incidental, or consequential damages arising from your participation in the Course or use of the Course materials. Our liability for direct damages is limited as follows:

​

  • We accept unlimited liability for damages resulting from our intentional misconduct or gross negligence, and for any personal injury or death caused by our negligence​. In addition, we are fully liable for any breach of warranty explicitly given and for any other liability which cannot be lawfully limited or excluded under applicable law (such as under the German Product Liability Act)​.

​

  • For damages caused by mere slight negligence, we shall only be liable if we breach an essential contractual obligation on which you relied (a duty that is fundamental to the proper execution of the contract). In such cases (of slight negligence breach of a cardinal duty), our liability is limited to the typical and foreseeable damages at the time of contract conclusion​. This means we will not be liable for extreme or unforeseeable outcomes from minor mistakes.

​

  • We will not be liable for damages caused by slight negligence if they do not result from the breach of an essential obligation. In other words, if we make a minor error that does not deprive you of the contract’s expected benefit, we shall have no liability for any resulting minor loss.

​

  • No limitation in this agreement shall exclude or reduce liability in cases where liability cannot be limited by law. For example, we do not limit liability for fraudulent concealment of defects or for any statutory guarantees that apply. All mandatory consumer rights under German law or other applicable laws remain unaffected​.

​

Release for Actions of the Student: You acknowledge that your application of knowledge or skills gained from the Course in real-world scenarios (e.g., on the job or in projects) is solely your responsibility. We are not liable for any business or personal decisions you make based on the course content. The Course does not constitute specific professional advice tailored to your situation, and no client-consultant relationship or fiduciary duty is formed between the student and instructor through this Course.

Technical Disclaimer: We strive to keep the online platforms we use for the Course accessible and virus-free, but we cannot guarantee that your access will be uninterrupted or error-free. We are not responsible for technical difficulties that are beyond our control (see also Course Schedule section regarding missed sessions due to student-side technical problems). You are responsible for ensuring that your computer or device is secure and that you follow recommended practices (we will provide any necessary instructions for accessing the course, but general digital security is up to you).

If you have any basis for a claim against us arising from the Course, you agree to notify us promptly and give us an opportunity to resolve the issue. Any claim for damages against us (other than those under the unlimited liability category described above) must be brought within the time frame allowed by applicable law.

Data Protection and Privacy

Your privacy is important to us. By enrolling in the Course, you will be providing personal information such as your name, contact information, and payment details (the latter handled through Wix Payments). We will only use your personal data for purposes of providing the course services to you, processing your payment, and as otherwise described in our Privacy Policy (please refer to the Privacy Policy on our website for details). We comply with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws in handling your data.

Some key points: your data will be used to register you for the course, grant you access to sessions and materials, and communicate with you about course updates. We may also use your email to send you follow-up surveys or information about related courses, but you can opt out of marketing communications at any time. We do not sell your personal data to third parties. Payment processing is done via Wix Payments and we do not store your full payment card details ourselves. Wix and its payment processors will handle your payment information in accordance with their security standards.

If the Course involves any recording (for example, if we record a group session to share with participants), we will inform you and handle any personal data in those recordings (like your image or voice) with care. By participating in live sessions, you agree that we can process this data for educational purposes of the course (for instance, making a replay available to participants). We will not share these recordings publicly without your consent. More information about how we protect your data and your rights (access, rectification, deletion, etc.) can be found in the Privacy Policy on our site.

Governing Law and Jurisdiction

These Terms and Conditions and any disputes arising out of or in connection with them or the Course shall be governed by the laws of Germany, without giving effect to its conflict of laws principles. If you are a consumer and your habitual residence is in another country within the EU, you may also be entitled to the protection of the mandatory consumer protection provisions of your country of residence, and nothing in this clause affects those rights. In other words, the choice of German law does not deprive you of any protection under the law of the country where you live, to the extent those provisions are mandatory and applicable.

Any disputes that cannot be resolved amicably shall be subject to the jurisdiction of the courts of Germany. We suggest (and hope) to resolve any concern by communication first. If you are a business customer, the exclusive place of jurisdiction shall be the competent courts in the city where the instructor is based in Berlin, Germany. If you are a consumer, the statutory provisions on jurisdiction apply. This means you may bring a claim in the courts of your country of residence if you reside in the EU, or in the German courts, as appropriate under the law.

Dispute Resolution and Consumer Rights Information

In compliance with German law (§36 VSBG – Verbraucherstreitbeilegungsgesetz), we inform you that we are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board​. While we hope to resolve any complaint by working directly with you, in the event we cannot, you may seek legal remedies in court as outlined above.

​

Additionally, the European Commission provides an Online Dispute Resolution (ODR) platform for EU consumers, which can be accessed at https://ec.europa.eu/consumers/odr/. This platform might assist you in resolving disputes related to online purchases. Our contact email address for any dispute resolution correspondence is provided in the Contact section below (and in our website’s imprint). Please note that use of the ODR platform is optional and we typically prefer direct communication to solve issues. Nothing in this section limits your legal rights. This information is provided as a statutory notice to consumers.

Changes to Terms and Course

We reserve the right to update or modify these Terms and Conditions for future enrolments. The version of Terms that was in effect at the time of your enrolment will generally apply to your participation in the Course for that session. If we need to make a change to these Terms for an ongoing course in which you are already enrolled (which we do not anticipate doing except if required by law or necessary for security/legal reasons), we will notify you of the change. If any future update to the Terms will affect current students, we will provide an opportunity for you to review and accept the new terms or withdraw from the course with a pro-rated refund if you do not agree, as appropriate.

We also reserve the right to make reasonable changes to the course content or syllabus to improve the curriculum or adapt to new developments in the field. Any such changes will not materially reduce the value of the course; they are intended to enhance your learning experience. Schedule changes or format changes will be communicated in advance as described in the Course Schedule section.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a competent legal authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be made valid, it shall be severed (removed) from these Terms without affecting the validity of the remaining provisions. The remaining Terms will continue in full force and effect. In place of any invalid provision, an appropriate legal provision that comes closest to the intended purpose of the invalid provision shall be deemed to be agreed.
